Legal & platform usage

Terms of Service

The terms that govern your club's access to and use of CosmoOps Club.

Last updated: 5 October 2026

1. Acceptance of terms

By creating a club workspace, signing in to, or using CosmoOps Club ("the Platform"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Platform.

These Terms are a binding agreement between CosmoOps (OPC) Private Limited ("CosmoOps", "we", "us") and the club, chapter or other organisation on whose behalf you act ("the Club"). If you accept them for a Club, you confirm that you are authorised to bind it.

2. The Platform

CosmoOps Club is a cloud-based service that helps service clubs and chapters manage their members, meetings and attendance, service projects, finances and dues, donors and 80G receipts, referrals, office bearers, and statutory registrations and filing dates. Sign-in, workspaces and subscriptions are provided through CosmoOps Connect.

We may add, change or remove features. Where a change removes something a Club relies on, we will give reasonable notice.

3. Accounts, workspaces and who can act for a Club

  • You must give accurate, current and complete information when you create an account or workspace.
  • You are responsible for keeping your sign-in credentials secure and for what happens under your account. Tell us at support@cosmoops.com straight away if you suspect unauthorised access.
  • A Club's workspace is for that Club only. Do not share one workspace between unrelated organisations.
  • The person who creates the workspace, and any officer given the right to invite others, decides who gets access and with which role (for example President, Secretary, Treasurer, Board member or Member). Each role carries different permissions over the Club's records.
  • The Club is responsible for giving access only to people who should have it, for choosing the right role, and for removing access when an officer or member leaves. An action taken by someone with access is treated as the Club's action.
  • You cannot give someone a role with more permissions than you hold yourself.

4. Records about other people

A Club puts personal data about its members, guests, donors and officers into the Platform. As between the Club and CosmoOps, the Club decides what is recorded and why, and is responsible for it. CosmoOps processes that data for the Club, as described in our Privacy Policy. By using the Platform, the Club confirms that:

  • it has a lawful basis for recording each person's data, and has given those people the notice the Digital Personal Data Protection Act, 2023 requires;
  • it will take consent before showing a member's details to other members, and will honour withdrawal of that consent;
  • it will obtain verifiable parental or guardian consent before recording a child (a person under 18);
  • it will answer its members' requests to access, correct or erase their data, and will not enter data it has no right to hold.

5. Finance, dues, donations and compliance tools

The Platform helps a Club record receipts and payments, raise dues, track donors, issue 80G-compliant receipts and keep a calendar of filing dates. These are record-keeping aids.

  • Not professional advice. Nothing in the Platform is legal, tax, audit or accounting advice. A Club should rely on its own advisers.
  • The Club is responsible for accuracy. Receipts, statements, Form 10BD data and deadlines are only as correct as the information entered. Check them before issuing, filing or relying on them.
  • 80G and registrations. A Club may issue 80G receipts only while it holds a valid registration. Entering a registration number does not make it valid, and the Platform does not verify it with the tax authorities.
  • Filing dates are prompts. Derived dates are a convenience. We do not file anything for you and are not responsible for a missed or wrong filing.
  • Payments. Unless a feature says otherwise, the Platform records payments made elsewhere. It does not hold a Club's money.

6. Acceptable use

You agree not to use the Platform to:

  • break any law or regulation, or help someone else do so;
  • record false members, donations, receipts or referrals, or issue a receipt for a donation that was not made;
  • record data about a person you have no right to hold, or use members' data to spam, harass or market to them without their consent;
  • infringe anyone's intellectual property or privacy rights;
  • upload malware, or anything harmful or unlawful;
  • impersonate another person or misstate your role in a Club;
  • interfere with the Platform, probe or test its security without our written permission, or try to reach data that belongs to another Club;
  • reverse engineer or copy the Platform, or build a competing service from it.

We may suspend access straight away for a serious or continuing breach of this section.

7. Your data and our rights

The Club keeps ownership of the data it puts into the Platform. The Club gives CosmoOps a non-exclusive licence to host and process that data only to provide the Platform to the Club and as the Privacy Policy describes. We do not sell it.

The Platform itself, including its software, designs, trade marks and content, belongs to CosmoOps or its licensors. These Terms do not transfer any ownership to you.

A Club can ask for a copy of its records, or for a member's or donor's data, by writing to support@cosmoops.com or to our Grievance Officer, and we will provide it in a commonly used format within a reasonable time. Where the Platform offers a report or statement, such as the Form 10BD donor list, a Club can produce it itself. When a workspace closes, we handle its data as set out in the Privacy Policy.

8. Third-party services

The Platform relies on third-party services, including CosmoOps Connect for sign-in and subscriptions, Google Cloud and Firebase for hosting, and Resend for email. Their own terms apply to your use of them. We are not responsible for a third party's acts or failures, but we remain responsible to you for the processors we choose.

9. Fees and payment

Some features need a paid plan. Plans, prices and what each includes are shown in the Platform and in CosmoOps Connect when you subscribe. Prices exclude GST and other applicable taxes unless stated.

  • Subscriptions renew for the period you choose until you cancel.
  • If a payment fails, we may limit access to paid features after giving you 7 days' notice. Your records are not deleted for non-payment, and the privacy page and your rights over your data stay reachable.
  • For billing questions, cancellations or refunds, write to support@cosmoops.com.

10. Confidentiality

Each side will keep the other's confidential information confidential and use it only to carry out these Terms, unless the law or a court requires disclosure. A Club's records are its confidential information.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT THE LAW ALLOWS, WE GIVE NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF HARMFUL COMPONENTS.

We take reasonable care of your data, but a Club should keep its own copy of records it is required by law to keep, such as accounts and receipts.

12. Limitation of liability

TO THE MAXIMUM EXTENT THE LAW ALLOWS, COSMOOPS IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE LOSS, OR FOR LOSS OF PROFITS, REVENUE, DONATIONS, TAX BENEFIT, DATA OR GOODWILL, ARISING FROM THESE TERMS OR THE PLATFORM, EVEN IF WE WERE TOLD IT COULD HAPPEN.

COSMOOPS' TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE AMOUNT THE CLUB PAID US IN THE 3 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.

13. Indemnity

The Club will defend and compensate CosmoOps and its officers, employees and agents against claims, losses and reasonable legal costs arising from: (a) the Club's use of the Platform; (b) its breach of these Terms; (c) its breach of any law, including data protection law, in the records it keeps or the receipts it issues; or (d) a claim by a member, donor or other person about data the Club put into the Platform.

14. Term and termination

  • These Terms apply until the Club's workspace is closed.
  • A Club may stop using the Platform and close its workspace at any time by writing to support@cosmoops.com.
  • We may end or suspend access for material breach, non-payment or breach of law, with 7 days' notice, or straight away for a serious violation.
  • Sections 4, 5, 7, 10, 11, 12, 13 and 16 survive termination.

15. Changes to these terms

We may update these Terms. For material changes we will give notice by email or an in-app message at least 15 days before they take effect. Using the Platform after that date means you accept the updated Terms. If you do not agree, you may close the workspace before then.

16. Governing law and disputes

These Terms are governed by the laws of India. Before starting legal proceedings, the parties will try in good faith to settle the dispute by negotiation for at least 30 days. Disputes that remain are subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

17. General

  • Entire agreement: these Terms and the Privacy Policy are the whole agreement about the Platform.
  • Severability: if a provision is unenforceable, the rest stays in force.
  • No waiver: not enforcing a right is not giving it up.
  • Assignment: a Club may not assign these Terms without our written consent. We may assign them in a merger, acquisition or sale of the business.
